Welcome to Docshield. These Terms & Conditions (“Terms”) govern your access to and use of the Docshield website, platform, and related services (collectively, the “Platform”). The Platform is operated by Docshield Inc., a Delaware-registered insurance producer (NPN: 21292592) headquartered in New York, NY (“Docshield,” “we,” “our,” or “us”).

1. Acceptance of Terms
By accessing or using the Platform, you agree to these Terms and our Privacy Policy. If you do not agree, you may not use the Platform. Continued use constitutes ongoing acceptance of the most current version of these Terms.
2. Eligibility
The Platform is intended for licensed medical professionals, healthcare organizations, and their authorized representatives located in the United States. By using Docshield, you represent that:
- You are at least 18 years old and legally capable of entering into a binding agreement.
- You reside in the United States and are using the Platform for lawful business or professional purposes.
- You have the authority to act on behalf of any healthcare organization or practice you represent.
3. Scope of Services
Docshield operates a technology-enabled insurance marketplace that allows Users to:
- Compare insurance products and premiums from multiple licensed carriers.
- Request and receive quotes and policy documents.
- Communicate with licensed insurance agents.
- Manage renewals and coverage information through the Platform.
Docshield does not underwrite insurance, issue policies, or guarantee the availability, suitability, or pricing of coverage. All insurance decisions are subject to the underwriting standards and discretion of individual carriers. Docshield's automated benchmarking and renewal shopping features are provided as a convenience. They do not create any continuing obligation to monitor, maintain, or ensure coverage adequacy beyond the renewal process. The User is solely responsible for reviewing policy terms and ensuring continuous coverage.
4. No Fiduciary or Advisory Relationship
Docshield provides comparative insurance information and facilitates communication between Users and licensed insurance carriers. Information provided through the Platform is for general educational and comparative purposes only. It does not constitute legal, financial, tax, or medical advice. You are encouraged to consult your own advisors before making insurance decisions.
4.1 Reliance and Information Accuracy
The User understands and agrees that all insurance quotes, comparisons, or recommendations generated through the Platform are based solely on the information provided by the User. Docshield does not verify the accuracy or completeness of such information and is not responsible for any errors, omissions, or discrepancies resulting from User data. The User remains solely responsible for determining the adequacy and appropriateness of any coverage selected. Docshield does not guarantee that any policy obtained through the Platform will meet all of the User's needs or comply with specific contractual, legal, or credentialing requirements.
5. Licensing & Compliance
Docshield Inc. is a duly licensed insurance producer (NPN: 21292592) registered in Delaware with its principal office in New York, NY. We are licensed to transact insurance business in multiple U.S. states in compliance with the National Association of Insurance Commissioners (NAIC) standards and applicable state Department of Insurance regulations. Carrier appointments, producer licenses, and other regulatory details are available upon request.
6. User Responsibilities
You agree to:
- Provide complete and accurate information during quote requests, applications, and policy management.
- Maintain the confidentiality of your login credentials and promptly notify us of unauthorized access.
- Use the Platform only for lawful purposes related to legitimate insurance procurement and management.
- Not misuse or attempt to interfere with Platform functionality or data.
Docshield reserves the right to deny or revoke access if false, misleading, or fraudulent information is provided.
7. Data Use & Privacy
Your use of the Platform authorizes Docshield to collect, store, and process personal, business, and insurance-related data as described in our Privacy Policy. This includes:
- Sharing application data with insurance carriers, underwriters, and relevant service providers to facilitate quotes and policy placement.
- Using aggregated and anonymized data for analytics, benchmarking, and performance improvement.
- Communicating with you about policy updates, renewals, and other relevant information.
By using the Platform, you consent to these uses.
8. Intellectual Property
All content, trademarks, service marks, software, user interfaces, algorithms, and documentation on the Platform are the intellectual property of Docshield or its licensors. This includes our proprietary comparison engine, automated renewal benchmarking tools, and any related workflows or visual elements. You may not copy, distribute, modify, or reverse engineer any portion of the Platform without written authorization.
9. Third-Party Carriers & Partners
The Platform displays insurance products and offers from third-party carriers. Each carrier is solely responsible for its own underwriting, policy terms, pricing, and claims handling. Docshield does not endorse or guarantee any specific carrier or policy, nor are we liable for any act, omission, or default by carriers or other third parties linked to our Platform.
10. Disclaimers of Warranties
The Platform and all related services are provided “as is” and “as available.” To the fullest extent permitted by law, Docshield disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, or uninterrupted service. We do not warrant that the Platform will be error-free, secure, or continuously available. The User acknowledges that no statement, promise, or representation by any Docshield employee, representative, or affiliate shall create any warranty, obligation, or liability beyond those expressly stated in these Terms or in a written policy document issued by an insurer.
10.1 Producer Liability Disclaimer
Docshield acts solely as a licensed insurance producer facilitating the procurement of insurance from authorized carriers. Docshield does not assume, and expressly disclaims, any liability arising from underwriting decisions, policy issuance, claims handling, or the financial condition of any insurer. The User acknowledges that Docshield's role is limited to placing coverage as requested based on the User's representations. Under no circumstances shall Docshield be liable for any loss arising from the failure of any insurer to pay a claim or perform under an issued policy.
11. Limitation of Liability
To the maximum extent permitted by law:
- Docshield's total liability for any claim arising from or related to your use of the Platform shall not exceed the greater of $100 or the amount you paid directly to Docshield for the service at issue (if any).
- Docshield shall not be liable for any indirect, consequential, incidental, punitive, or special damages, including loss of profits, data, goodwill, or business opportunities, even if advised of their possibility.
Some jurisdictions may not allow these exclusions, but our liability will be limited to the extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless Docshield, its officers, directors, employees, affiliates, and agents from and against all claims, liabilities, losses, and expenses (including attorneys' fees) arising from:
- Your use or misuse of the Platform;
- Your breach of these Terms or applicable law;
- Any misrepresentation or inaccuracy in data you provide.
13. Arbitration & Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute shall be resolved exclusively by binding arbitration conducted in New York County, New York, under the Commercial Arbitration Rules of the American Arbitration Association. You and Docshield waive the right to participate in any class, collective, or representative action. Each party bears its own costs, except as otherwise provided by applicable arbitration rules.
14. Modifications
We may update these Terms at any time. When changes occur, we will revise the “Last Updated” date and post the revised Terms on our website. Continued use of the Platform after such updates constitutes acceptance of the revised Terms.
15. Termination
Docshield may suspend or terminate your access to the Platform at any time, with or without cause or notice, including for misuse, noncompliance, or violation of these Terms. Upon termination, your rights to use the Platform immediately cease, though relevant provisions of these Terms (e.g., Limitation of Liability, Arbitration, and Indemnification) will survive.
16. Miscellaneous
- Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
- Waiver: Any failure by Docshield to enforce a provision does not constitute a waiver of future enforcement.
- Assignment: Docshield may assign these Terms or any rights under them without notice. You may not assign or transfer your rights without our prior consent.
- Entire Agreement: These Terms, together with our Privacy Policy and any supplemental agreements or disclosures, constitute the entire agreement between you and Docshield regarding the Platform.
